3. Client Responsibilities
- You must provide all necessary access, data, materials, and information required to deliver the services efficiently.
- You are responsible for ensuring that any content or material you provide does not infringe on any third-party rights, including intellectual property rights.
- You must review and approve deliverables within a reasonable timeframe to avoid delays.
4. Payment Terms
- All payments must be made according to the agreed-upon terms outlined in the invoice or service agreement.
- Failure to make timely payments may result in suspension or termination of services.
- Payments once made are non-refundable unless explicitly stated.
5. Confidentiality
We respect the confidentiality of your business information. Any data shared with us will only be used for the purpose of providing the agreed services and will not be disclosed to third parties without prior written consent, except where required by law.
6. Intellectual Property
- All content, designs, and marketing materials created by us remain the property of SunGlow Digital Services until full payment is received.
- Upon full payment, ownership of custom-developed content or websites may be transferred to the client, excluding third-party tools, plugins, or licenses.
7. Performance & Results
While we use proven strategies and best practices, we do not guarantee specific results such as rankings, traffic, or revenue increases. Digital marketing performance is influenced by multiple factors outside our control, including algorithm changes, market trends, and competitor activities.
8. Termination of Services
Either party may terminate the agreement with written notice. Any services rendered before termination will be invoiced and payable by the client. We reserve the right to terminate services immediately if there is a breach of these terms, including non-payment or misuse of services.
9. Limitation of Liability
SunGlow Digital Services shall not be liable for any indirect, incidental, or consequential damages arising out of or relating to the use of our services. Our total liability shall not exceed the amount paid by the client for the services in question.
10. Revisions and Modifications
We reserve the right to revise or update these Terms & Conditions at any time without prior notice. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes your acceptance of the revised terms.
11. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of India. Any disputes arising under these terms will be subject to the jurisdiction of the courts in Faridabad, Haryana.
